3. Ordering / Engagement

To engage Critiera’s Business Consulting Services, clients must submit a formal request outlining their consulting needs. Upon receipt, Critiera will provide a proposal, including scope, timeline, and deliverables. Engagement is confirmed once both parties sign the agreement and the initial payment is received.

4. Payment & Pricing

Payment for Critiera’s services is due as outlined in the proposal. Fees are based on the scope of services provided and may include hourly rates, project-based fees, or retainer agreements. All payments must be made in USD. Late payments may incur additional fees as specified in the engagement agreement.

5. Delivery / Performance

Critiera commits to delivering its Business Consulting Services in accordance with the agreed timeline and scope outlined in the engagement proposal. Performance metrics will be established at the beginning of the engagement to assess the effectiveness of the consulting services provided. Clients are expected to provide necessary access and information to facilitate the consulting process.

6. Intellectual Property

All materials, methodologies, and intellectual property created by Critiera during the provision of Business Consulting Services remain the property of Critiera. Clients are granted a limited license to use deliverables for their internal purposes only. Reproduction or distribution of Critiera’s intellectual property without prior written consent is prohibited.

7. Prohibited Uses

Clients agree not to use Critiera’s services for any unlawful purpose or in any manner that could damage, disable, or impair Critiera’s operations. This includes, but is not limited to:

  • Using our insights or strategies to engage in fraudulent activities.
  • Disseminating confidential information obtained through our consulting services.
  • Attempting to reverse-engineer any methodologies or proprietary frameworks developed by Critiera.

8. Disclaimers & Warranties (Business Consulting Services-specific risks)

While Critiera strives for excellence in delivering Business Consulting Services, we do not guarantee specific results. Clients acknowledge that consulting outcomes depend on various factors beyond our control, including organizational dynamics and market conditions. Critiera disclaims all warranties, express or implied, regarding the effectiveness of recommendations provided.

9. Limitation of Liability

To the fullest extent permitted by law, Critiera’s liability for any claims arising from the provision of Business Consulting Services is limited to the total fees paid by the client for the specific engagement. Critiera shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, arising from the use of our services.

10. Governing Law (State of PA)

These Terms of Service shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania. Any disputes arising from these terms shall be resolved in the appropriate courts located in Greene County, PA.
